Oh-Ebashi provides
various legal services for legal problems related to corporate law.
For example, with respect to the management of general meetings of
the shareholders, and in light of recent revisions to the Commercial
Code and the trend of practices concerning general meetings of the
shareholders, we emphasize the importance of the IR function of the
general shareholder’s meeting while giving advice for
holding legal and suitable general shareholders meetings by giving
advice on the drafting of notices of the meeting and preparation of
financial statements, study groups oriented toward officers and directors
and holding mock Q&A and mock general shareholders’ meetings.
In addition, Oh-Ebashi provides advice of a practical nature and
written legal opinions based on legal precedent and academic doctrines
to companies confronted by major issues; for example providing advice
with respect to a director’s duty of care when making a management
decision and the decision-making process that a director must use
for such management decision to comply with applicable laws.

governance systems for companies following introduction of the company
with statutory committees, Oh-Ebashi provides advice
to companies concerning the structure of the most appropriate corporate
governance system for such company, taking into consideration the needs
of each company as well as its unique characteristics.
Finally, Oh-Ebashi provides consultation and practical guidance
in the area of corporate law based on Oh-Ebashi’s extensive experience
and know how concerning corporate disputes, including, among other things,
the establishment of corporate compliance systems as well as the implementation
of risk management policies which include countermeasures for shareholders’ suits.
