Notice Regarding the Establishment of Oh-Ebashi Consulting Co., Ltd.

We are pleased to announce that Oh-Ebashi LPC & Partners ("our firm") has recently established Oh-Ebashi Consulting Co., Ltd. (the "new firm").
The new firm will combine the legal expertise that our firm has cultivated over many years with a management consulting approach to support clients in the design and implementation of practical mechanisms and frameworks to address issues related to corporate governance, etc.

In order to promote sustainable growth and the mid- and long-term enhancement of corporate value, it is important to establish governance that is aligned with each company's management strategies and operational status. To achieve this, it is necessary to formulate mechanisms and frameworks that support bold and accurate decision-making and appropriate risk-taking by the management team, ensure effective oversight by the board of directors, and address risk management and prevention of misconduct.
Issues in governance are connected to various elements, such as the respective roles of the management team and the board of directors, processes for information sharing and decision-making, allocation of management resources, and relationships with shareholders. The new firm will first analyze the specific concerns held by clients to identify the underlying fundamental issues and related challenges as a whole and then develop comprehensive and concrete solutions. Based on the above, and through dialogue with each client's management team and board of directors, the new firm will translate its findings into mechanisms and frameworks tailored to the actual circumstances of the client and support their implementation.
In particular, in addition to comprehensive support for the design and implementation of governance as a whole, the new firm will also provide support in individual areas, such as amendments to corporate governance codes; evaluations of the effectiveness of the board of directors and improvements to its operation; formulation of strategies to respond to shareholders; design of approaches to strategy planning and management resource allocation; enhancement of group governance; establishment of mechanisms and frameworks for risk management; and formulation and implementation of measures to prevent misconduct.

An attorney of our firm, Koichi Kida, has been appointed as the representative of the new firm. In addition to his practical experience at our firm, he acquired experience at Kearney K.K., a management consulting firm, where he served as a manager and was involved in a wide range of strategic projects. Drawing on this experience, together with the knowledge he acquired at a business school in London, he will lead the business of the new firm.
Further, our lawyers, Shiro Kuniya and Motoi Shimadera, will serve as directors of the new firm, providing advice grounded in their extensive practical experience and expertise, and supporting the resolution of clients' issues.
