Franchise

In franchise agreements, various elements are organically integrated such as the purchase of goods or materials, licensing of trademarks and know-how, and management consultations provided by the franchisor. These matters relate to the Civil Code, the Commercial Code, the Trademark Act, the Unfair Competition Prevention Act, the Anti-trust Act, the Act on Specified Commercial Transactions, and the Small and Medium-sized Retail Business Promotion Act.

We have advised well-known franchisors in many projects, and have extensive experience in, for example, drafting and reviewing legal documents on franchised business, including franchise and supply agreements, providing advice on franchising a business, and handling M&A transactions with companies operating franchised businesses. Our firm also has expertise in dispute resolution concerning franchise agreements, including disputes involving the franchisor's obligation to provide information, management consultations provided by the franchisor to a franchisee, termination of franchise agreements, and the franchisee's non-compete obligations.
